Gipity™ • MVP Framework + Community Terms of Service and License AgreementThis Agreement is between l2o ltd, a company registered in England and Wales and the Client and shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.1. Framework Overview
- The Framework is designed to help Clients build, host, and customize a fully functional web-based SaaS-style minimum viable product (MVP) using a provided template. The features and modules of the template are as advertised on the l2o ltd website at the time of purchase.
- Clients will gain confidence in modifying the Framework and template using AI/GPT to expand their project with new features and modules.
- The Community Access Period is for a period of 12 weeks from the date of sign-up and purchase, or from the date on which access to the Framework materials is first given, whichever is the later of the two dates.
- Progress of the Client's development, usage and work with the Framework is self-paced, but daily online Community-chat support will be available weekdays throughout the Community Access Period for all Clients.2. Framework Access and Usage
- Access to Framework materials, including written guides, code, and Community chat, is granted upon full payment.
- Access is for personal use only and is non-transferable. Sharing Framework materials or login credentials with others is prohibited.3. Framework License
- Permitted Uses:
- Clients may use and modify the Framework, templates, features, modules and scripts for their own personal or company projects, including for commercial purposes where they directly control and use the project.
- Clients are free to add new modules, features and scripts to the Framework for their own use.
- Prohibited Uses:
- Redistribution, resale, or sublicensing of the original or modified Framework, templates, features, modules and scripts is strictly prohibited.
- Clients may not share the Framework, templates, features, modules and scripts or derivative works with third parties, including by uploading it to open-source repositories or using it as part of a product sold or distributed to others.
- Clients may not use the Framework, templates, features, modules and scripts in any manner that could compete with or replicate the Framework service provided by l2o ltd.
- Ownership: All Frameworks, templates, features, modules and scripts created by l2o ltd, whether created before or after the Client agrees to this agreement remain the intellectual property of l2o ltd. Modifications made by Clients are their property, provided they do not redistribute or sell the modified Framework, templates, features, modules or scripts.4. Client Responsibilities
- Learning and Implementation: Clients are responsible for actively engaging with the Framework materials, implementing the Framework on their own hosting environment, and seeking support when needed.
- Hosting and Tools: Clients must use the suggested server hosting provider (at their own cost) and follow provided scripts and instructions to set up and manage their cloud and web server and database. Clients are responsible for ensuring they maintain their hosting environment as per Framework guidance.5. Intellectual Property
- All Framework materials, including but not limited to guides, videos, software, code, server setup scripts, written content, and Community chat resources, remain the property of l2o ltd.
- Copying, reproducing, or distributing Framework materials without express written permission is prohibited.6. Support and Limitations
- Daily Community-chat support with the l2o ltd support team is available on weekdays throughout the Community Access Period for questions directly related to the Framework, and provided server setup scripts. Response times may vary. All Clients are free to chat with each other. Chat and support by the l2o ltd support team will be provided to the Community and all Clients as a group. Individual one-on-one chat and support between the l2o ltd support team and Clients is not guaranteed.
- Support does not include custom development requests or issues outside the scope of the Framework materials.
- l2o ltd commits to spending time between January 2025 and March 2025 building new templates, features, modules and scripts and these will be available to all paid-up clients at no extra charge. Whilst the l2o ltd support team will attempt to understand the requirements of existing clients, no guarantees are offered as to the number of features and modules being built or whether the features and modules will support the requirements of existing clients. Any additional templates, features, modules and scripts created by l2o ltd will be subject to the Framework License as shown in section 3 of this agreement.
- Support by the l2o ltd support team for 3rd party tools, suppliers, software, services and products recommend by l2o ltd is not guaranteed but will be offered where time permits and within the limits of the l2o ltd support team's own existing knowledge of the 3rd party tools, suppliers, software, services and products.
- Support by the l2o ltd support team for 3rd party tools, suppliers, software, services and products not recommend by l2o ltd is not guaranteed.
- l2o ltd is not responsible for hosting provider outages, hosting failures, or server misconfigurations caused by Client errors outside the provided instructions.7. Payment and Refunds
- The Framework and Community fee is as advertised on the l2o ltd website at the time of purchase, and excludes additional costs for hosting or other third-party tools, services, apps, APIs, products or software required for implementation.
- Additional fees may apply for optional further Community Access, Framework updates, additional Framework modules or Framework enhancements once the original Community Access Period has expired.
- All sales are final. Refunds will not be issued once Framework or Community Access has been granted.8. Limitations and Disclaimers
- The Framework and Community are provided "as-is" without warranties of any kind. l2o ltd is not liable for any damages, including data loss, business interruptions, or other issues resulting from the use of the Community, Framework, materials, scripts, or other Gipity services.
- While guidance and scripts are provided for setting up hosting, servers, and the template MVP Framework, l2o ltd is not responsible if Clients are unable to successfully configure their hosting environment, deploy the template MVP Framework, or achieve any other functionality outlined in the Framework.
- The ability to expand the MVP with additional features and modules depends on the Clients' understanding, effort, and external factors such as third-party tools (e.g., ChatGPT). No guarantees are made regarding their ability to extend the Framework successfully.
- No guarantee is made regarding business success, funding, or market validation outcomes as these depend on Clients' efforts and external factors.9. Modifications to Terms
- l2o ltd reserves the right to update these terms at any time. Changes will apply to future access and use of the Framework materials and Community Access.Summary of the Framework License (for clarity):
- You can use and modify the Framework, templates, features, modules and scripts for your own personal or company projects.
- You cannot redistribute, resell, or share the Framework, templates, features, modules and scripts or their derivatives with others.
- You own the customizations and extensions you create using the Framework, templates, features, modules and scripts.
